Terms of Service

Welcome to ScoopPass. These Terms of Service ("Terms") govern your use of the ScoopPass platform, including our website (scooppass.netlify.app), web applications, and related services (collectively, the "Service") operated by RonDaVu Bakery LLC ("ScoopPass," "we," "us," or "our").
By creating an account, listing an event, or completing a purchase through ScoopPass, you agree to these Terms. If you do not agree, please do not use the Service.
1. Who We Are and What We Do
ScoopPass is a prepayment and event coordination platform built for independent food and dessert vendors. Vendors create events (e.g., school treat days, fundraisers, catered functions), publish a menu, and share a magic link with parents or guests who can prepay online. We do not own, prepare, sell, or deliver any food.
We are intentionally independent and vendor-first. Vendors retain 100% of menu revenue. Parents pay a flat per-order convenience fee that supports the platform.
2. Eligibility
You must be at least 18 years old and legally able to enter contracts to create a vendor account or make a purchase. By using the Service, you represent that you meet these requirements.
3. Accounts
Vendor Accounts
You may create a vendor account with a valid email address and password. You are responsible for:
- Keeping your password confidential
- All activity that occurs under your account
- Maintaining accurate business, contact, and payout information
- Verifying your email address before publishing paid events
Parent / Guest Accounts
Parents and guests do not need a registered account to place an order. They provide their name, email, and child/recipient details at checkout.
4. Vendor Responsibilities
As a vendor, you are solely responsible for:
- Food safety and licensing. You hold all licenses, permits, and certifications required to prepare and sell food in your jurisdiction.
- Allergens and dietary information. You accurately list ingredients and allergens for every menu item. ScoopPass does not verify ingredient accuracy.
- Fulfillment. You deliver the food and experience you promised, on the date and at the location you published.
- Refunds and disputes. You handle parent disputes, refund requests, and chargebacks directly. ScoopPass may facilitate refunds through Stripe but is not financially responsible for them.
- Taxes. You collect and remit all applicable sales, income, and other taxes. ScoopPass does not withhold or remit taxes on your behalf.
- Truthful representations. Your business name, photos, descriptions, and menu reflect your actual products.
5. Parent / Guest Responsibilities
As a parent or guest placing an order, you agree to:
- Provide accurate name, email, and student/recipient information
- Pay the listed menu price plus the convenience fee
- Contact the vendor directly with questions about your order, food preparation, or pickup
- Acknowledge that ScoopPass is the payment platform — not the food provider
6. Pricing and Fees
Menu Prices
Set by the vendor. ScoopPass takes no portion of menu revenue.
One-Time Onboarding Fee
A one-time onboarding fee is charged when a vendor account is created. The fee covers account provisioning, Stripe Connect setup, branding configuration, and initial vendor support.
- Founding vendors (first 10 verified accounts): $149 one-time.
- Standard vendors (vendor #11 onward): $199 one-time.
The onboarding fee is non-refundable once the vendor account has been activated and Stripe Connect onboarding has been initiated.
Convenience Fee
A flat per-order fee paid by the parent on top of the menu price. The fee covers payment processing, platform hosting, customer support, and ongoing development.
- Founding vendors (first 10 verified accounts): $1.00 per order, locked in for life.
- Standard vendors (vendor #11 onward): $1.50 per order.
Founding-tier pricing is locked at signup and cannot be regained if forfeited. We may adjust standard pricing prospectively with at least 30 days' notice; founding pricing remains protected.
Pay-It-Forward and Fundraising (when enabled)
Parents may add an optional tip ("Pay It Forward") or fundraising contribution at checkout. These amounts flow to the vendor's payout in full, less Stripe's processing fee. ScoopPass takes no portion.
Payment Processing
All payments are processed by Stripe, Inc. Stripe deducts standard processing fees (currently ~2.9% + $0.30 per transaction) from the total charged. Vendors are responsible for understanding Stripe's fee structure.
7. Payouts
Vendors are paid out by Stripe according to the vendor's Stripe Connect schedule (typically 2 business days after charge clears). ScoopPass does not hold or escrow vendor funds.
8. Refunds and Cancellations
- Vendor-initiated refunds: Vendors may issue full or partial refunds at their discretion through the dashboard. The convenience fee is non-refundable except where required by law.
- Event cancellation by vendor: If a vendor cancels an event after orders are placed, the vendor is responsible for refunding all parents. ScoopPass will assist with the bulk refund process.
- Disputes and chargebacks: Parents who initiate a chargeback through their bank or card issuer bypass our process; vendors are responsible for responding through Stripe's dispute system.
9. Content and Intellectual Property
- Your content (vendor): You retain ownership of logos, photos, menu descriptions, and business information you upload. You grant ScoopPass a non-exclusive, royalty-free license to display this content on the Service for the purpose of operating your account and processing orders.
- Our content: The ScoopPass name, logo, platform code, and "ScoopPass™" mark belong to RonDaVu Bakery LLC. You may not copy, modify, or redistribute the platform.
10. Acceptable Use
You may not use ScoopPass to:
- List products you do not have the right to sell
- Misrepresent allergen information, ingredients, or business details
- Process payments for prohibited goods (firearms, controlled substances, adult content, etc.)
- Attempt to access another vendor's data or our backend systems
- Scrape, reverse-engineer, or build derivative platforms from our service
- Send spam, phishing, or unsolicited communications to parents who used our checkout
We may suspend or terminate accounts that violate these rules, with or without notice.
11. Termination
You may close your vendor account at any time by contacting us. We may suspend or terminate your account if you violate these Terms, become insolvent, or if continued service poses legal or reputational risk to ScoopPass. Termination does not relieve either party of obligations incurred before termination (outstanding refunds, taxes, etc.).
12. Disclaimers
ScoopPass is provided "as is" and "as available." We do not warrant that:
- The Service will be uninterrupted, error-free, or available at all times
- Vendor listings, menus, or allergen data are accurate
- Any transaction will result in a successful event or delivery
ScoopPass is not a food provider, caterer, distributor, restaurant, or retailer. We are a software platform that connects vendors and customers.
13. Limitation of Liability
To the maximum extent permitted by law, ScoopPass and its officers, employees, and affiliates are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service. Our total aggregate liability for any claim is limited to the greater of $100 or the total convenience fees you have paid (vendors) or been charged (parents) in the 12 months preceding the claim.
14. Indemnification
You agree to defend and indemnify ScoopPass from any claim, damage, loss, or expense (including reasonable attorneys' fees) arising from:
- Your breach of these Terms
- Your food, products, or events (vendors)
- Your interactions with vendors or other users
- Your violation of any law or third-party right
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Wisconsin, without regard to conflict-of-law principles. Any dispute will be resolved exclusively in the state or federal courts located in Waukesha County, Wisconsin, and you consent to that jurisdiction.
16. Changes to These Terms
We may update these Terms from time to time. Material changes will be announced via email and on the Service at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
